Purchase Terms

1. Parties Involved
This agreement is between the following parties:
Role: Customer
You, the individual or entity purchasing tickets through our platform
Role: Platform Operator
Us, Halftone, LLC, the legal entity and operator of this ticketing website
Role: Event Organizer
The entity responsible for organizing and managing the event
Role: Venue Operator
The business entity operating the establishment where the event takes place
2. Definitions
Definitions
- Event
- Any concert, performance, sports game, or other entertainment activity for which tickets are sold through our Platform
- Ticket
- A revocable license to attend an Event
- Platform
- The online ticketing system operated by Halftone, LLC
3. Role of the Platform Operator
3.1
Halftone, LLC acts as a ticket platform operator, facilitating ticket sales on behalf of the Event Organizer.
3.2
Our role is limited to providing the platform for ticket purchases and delivery. We are not responsible for the organization, management, or execution of events.
3.3
We do not own the tickets sold through our platform. We act as an intermediary between Customers and Event Organizers.
4. Agreement to Terms
4.1
By completing the checkout process on our platform, the Customer agrees to be bound by these Purchase Terms.
4.2
If you do not agree to these terms, please do not use our platform or purchase tickets through it.
5. Customer Responsibilities
5.1
The Customer is responsible for ensuring the accuracy of all information provided during the purchase process, including but not limited to personal details and payment information.
5.2
The Customer is expected to adhere to all venue and event policies as listed on our platform or communicated by the Event Organizer.
5.3
Customers must not engage in any fraudulent activities, including using stolen credit cards or attempting to circumvent the ticketing system.
5.4
Customers are responsible for safeguarding their account information and passwords.
6. Ticket Purchase and Delivery
6.1
Tickets are sold subject to availability.
6.2
A contract for the sale of tickets is concluded only when we have processed your payment and confirmed your order via email.
6.3
Electronic tickets will be delivered to the email address provided during the purchase process. Physical tickets, if applicable, will be mailed to the address provided.
6.4
It is the Customer's responsibility to review their order for accuracy before completing the purchase.
7. Pricing and Fees
7.1
All ticket prices are listed in US Dollars unless otherwise specified.
7.2
Additional fees, such as service fees, delivery fees, or facility fees, may be added to the ticket price. These will be clearly displayed before purchase completion.
7.3
Prices and fees are subject to change without notice.
8. Ticket Sales and Refunds
8.1
All sales are considered final. Refunds are not guaranteed and are at the sole discretion of the Platform Operator and Event Organizer, unless stated otherwise in these terms.
8.2
In the event of a ticket delivery failure, duplicate charge, or any other suspected technical issue related to our platform, the Customer should contact us, the Platform Operator, immediately to resolve the issue. Refunds will be issued in cases where the error is determined to be our fault.
8.3
The Customer is responsible for requesting support or contacting us through the listed contact methods in the event of a dispute. Issuing a chargeback without prior communication attempting to resolve a dispute may result in a ban from using the platform without limitation.
8.4
Refunds, if approved, will be processed to the original method of payment within 10 business days.
9. Event Cancellation, Postponement, or Relocation
9.1 Event Cancellation
In the event of a cancellation, we will attempt to facilitate refunds on behalf of the Event Organizer within 5 business days. Refunds are subject to receiving funds from the Event Organizer and as a result are not guaranteed.
9.2 Event Changes
In the event of an event's details changing, whether it be postponement, relocation, or a change to the lineup, customers will be contacted via their provided contact information and given the choice between exchanging their tickets for the updated event or requesting a refund. Refunds in these cases are facilitated by and at the discretion of the Event Organizer.
9.3
We are unable to provide refunds for events that have already ended, as ticket sales will have already been transferred to the Event Organizers. Any issues or concerns should be handled directly with the Event Organizer.
9.4
In cases of partial performance (e.g., a concert cut short due to weather), refund policies will be determined by the Event Organizer.
10. Event Entry and Ticket Validity
10.1
The Event Organizer or venue staff reserves the right to refuse entry or eject ticket holders without compensation for reasons including, but not limited to, violation of venue policies, disruptive behavior, or safety concerns.
10.2
Tickets can be cancelled and access revoked in cases of suspected fraud.
10.3
Customers must present a valid ticket to gain entry to an event. It is the Customer's responsibility to keep their tickets secure and prevent unauthorized duplication.
10.4
Lost, stolen, or damaged tickets may be replaced at the discretion of the Event Organizer, potentially subject to a fee.
11. Event Details and Quality
11.1
Venue amenities and restrictions are subject to change at any point.
11.2
The quality of an event is not guaranteed. The accuracy of event information is the responsibility of the Event Organizer, not the Platform Operator.
11.3
Seating arrangements, stage setups, and other event specifics may vary from any images or descriptions provided on our platform.
12. Ticket Transfer and Resale
12.1
Ticket transfer or resale may be prohibited or restricted for certain events, as determined by the Event Organizer.
12.2
Where allowed, tickets may only be resold through our official resale platform, if available. Resale through unauthorized channels may result in ticket cancellation without refund.
12.3
Tickets may not be used for advertising, promotion, or sweepstakes purposes without express written consent from the Event Organizer.
13. Accessibility and Special Needs
13.1
Customers with accessibility requirements or special needs should contact the Event Organizer or the Venue Operator before purchasing tickets to ensure appropriate accommodations can be made.
13.2
We will make reasonable efforts to accommodate customers with disabilities, subject to availability and venue constraints.
14. Limitation of Liability
14.1
To the fullest extent permitted by law, the Platform Operator's total liability for any claim arising out of or relating to these Purchase Terms is limited to the amount paid for the ticket(s) giving rise to the claim.
14.2
The Platform Operator is not responsible for:
- Travel or lodging expenses
- Issues arising from unofficial ticket resale or transfer
- Stolen devices or possessions at the event
- Injury or emotional damages occurring at the event
- Bank fees resulting from ticket purchase or refund
- Refusal of alcohol sale at the event
- Natural disasters or acts of God affecting the event
- Any actions or omissions of the Event Organizer or Venue Operator
15. Intellectual Property
15.1
All content on our platform, including but not limited to text, graphics, logos, and software, is the property of Halftone, LLC or its content suppliers and is protected by copyright laws.
15.2
Customers may not reproduce, distribute, or create derivative works from this content without express written consent from Halftone, LLC.
16. Data Privacy and Security
16.1
We collect and process personal data in accordance with our Privacy Policy, which is incorporated by reference into these Purchase Terms.
16.2
By using our platform, you consent to such processing and you warrant that all data provided by you is accurate.
16.3
We implement reasonable security measures to protect your personal information, but we cannot guarantee its absolute security.
17. Communication
17.1
By using our platform, you agree to receive communications from us regarding your ticket purchase and the event.
17.2
Any changes to the event will be communicated to the Customer via their provided contact information. It is the Customer's responsibility to ensure their contact information is up to date.
17.3
You may opt out of marketing communications, but you cannot opt out of important updates related to your ticket purchase or the event.
18. Dispute Resolution
18.1
If a dispute arises between you and Halftone, LLC, we agree to first attempt to resolve it informally by contacting each other.
18.2
If informal resolution is unsuccessful, any dispute will be resolved through binding arbitration conducted by the American Arbitration Association.
18.3
You agree to resolve disputes on an individual basis and waive any right to pursue disputes on a class or consolidated basis.
19. Governing Law
These Purchase Terms shall be governed by and construed in accordance with the laws of St. Louis, Missouri, United States, without regard to its conflict of law provisions.
20. Severability
If any provision of these Purchase Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Purchase Terms will otherwise remain in full force and effect and enforceable.
21. Amendments to Terms
21.1
We reserve the right to modify these Purchase Terms at any time.
21.2
Changes will be effective immediately upon posting on our platform.
21.3
Your continued use of our platform after changes are posted constitutes your acceptance of the updated terms.
